1. Acceptance of these terms

These Terms of Use form an agreement between you and Tare Supply LLC concerning your access to taresupply.com and its content. By using the website, you agree to these terms and our Privacy Policy. If you do not agree, do not use the website.

A proposal, statement of work, or service agreement signed for paid services may contain additional terms. If it conflicts with these website terms about the paid engagement, the signed agreement controls, except that our public Refund and Cancellation Policy is the minimum refund protection and a signed agreement may only improve those rights.

2. Nature of our business

Tare Supply provides education, coaching, consulting, supplier evaluation support, and marketing services. We do not sell or fulfill physical products, act as a manufacturer or supplier, receive supplier-order funds, or take title to client goods. Any service description, invoice, or payment request concerns professional services only.

Published program prices are ranges. A fixed fee, scope, schedule, deliverables, and payment terms are provided in writing before a paid engagement begins. Refunds and cancellations are addressed in our Refund and Cancellation Policy and any signed service agreement.

3. Eligibility and authority

You must be at least 18 years old to submit an inquiry, book services, or enter an agreement with us. If you use the website for an organization, you represent that you are authorized to act for that organization. You may not use the website where doing so would violate applicable law.

4. Acceptable use

You agree not to:

• use the website for unlawful, fraudulent, abusive, or misleading activity;
• attempt unauthorized access to the website, servers, forms, or related systems;
• introduce malicious code, interfere with availability, or evade technical controls;
• collect personal information from the website without a lawful basis;
• misrepresent your identity, authority, affiliation, or intended use of our services;
• copy, scrape, republish, or commercially exploit substantial website content without permission; or
• use our name or content to imply an endorsement, supplier guarantee, or business relationship that does not exist.

5. Educational content and no client relationship

Website content is general educational information. It is not legal, financial, tax, customs, safety, testing, engineering, or regulatory advice and is not tailored to your circumstances. Browsing the website, sending an inquiry, or booking an introductory call does not create a client, fiduciary, agency, partnership, or employment relationship.

We do not guarantee business, supplier, marketing, production, or revenue outcomes. You remain responsible for decisions and for obtaining qualified professional advice when required.

6. Forms, email, and communications

When you submit a form or email us, you authorize us to use the information to respond, evaluate fit, administer requested services, and maintain business records. A service inquiry does not subscribe you to marketing email. If we later offer marketing email, enrollment will require a separate choice and each marketing message will provide an unsubscribe method.

Electronic communications can be delayed, intercepted, or misdirected. Do not send passwords, full payment-card details, government identification numbers, protected health information, or other highly sensitive data through the contact form or ordinary email.

7. Intellectual property

The website design, text, graphics, guides, methods, templates, and other content created by Tare Supply are owned by Tare Supply LLC or used with permission and are protected by applicable intellectual property laws. We grant you a limited, revocable, nonexclusive, nontransferable right to access the website for lawful personal or internal business use.

You may link to public pages and quote short portions with clear attribution. You may not reproduce, sell, license, distribute, remove notices from, or create a competing commercial resource from substantial portions of our content without written permission.

8. Names and trademarks

Tare Supply, associated brand marks, and service names identify our business. No license to use our names, logos, marks, or confusingly similar identifiers is granted by these terms. Other names and marks belong to their respective owners. Reference to a third-party name does not imply sponsorship or endorsement.

9. Third-party services and links

The website may link to Cal.com, email providers, payment services, suppliers, or other independent services. Third parties have their own terms, privacy practices, availability, and security. We are not responsible for their websites, services, representations, or performance.

Supplier research or an introduction is not a certification or guarantee. Clients perform their own diligence, enter contracts in their own names, and pay third parties directly.

10. Disclaimer of warranties

To the fullest extent permitted by law, the website and free content are provided "as is" and "as available." Tare Supply disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the website will be uninterrupted, error-free, secure, or complete. This disclaimer does not affect express commitments in a signed service agreement or warranties that cannot lawfully be disclaimed.

11. Limitation of liability

To the fullest extent permitted by law, Tare Supply LLC and its members, personnel, and contractors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from website use, free content, or independent third parties, including loss of profits, data, opportunity, reputation, or business interruption.

For claims arising only from use of the free website, our aggregate liability will not exceed 100 US dollars. Liability arising from paid services is governed by the signed service agreement. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Tare Supply LLC and its members, personnel, and contractors from third-party claims, losses, and reasonable costs arising from your unlawful use of the website, your material breach of these terms, or content you submit that infringes another person's rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.

13. Suspension and termination

We may restrict or terminate website access when reasonably necessary to protect the website, users, third parties, or our legal rights, including for suspected misuse or a material breach of these terms. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limits, indemnification, and governing law.

14. Governing law and jurisdiction

These terms are governed by New Mexico law, without regard to conflict of laws principles. Mandatory consumer protection laws may also apply. Nothing in these terms limits rights that cannot be waived under applicable law. Subject to applicable law, the parties consent to the nonexclusive jurisdiction of state and federal courts in New Mexico.

15. Severability and entire website agreement

If a provision of these terms is held unlawful or unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue in effect. These terms, the Privacy Policy, Disclaimer, and Refund and Cancellation Policy form the entire agreement concerning use of the public website. They do not replace a signed agreement for paid services.

16. Changes to these terms

We may update these terms to reflect changes in the website, services, or law. The effective date above identifies the latest version. Material changes apply prospectively unless applicable law requires otherwise. Continued website use after an update means you accept the revised terms.
